WINECONNECT TERMS AND CONDITIONS

GENERAL PROVISIONS
1. Preliminary provisions
  1. The WineConnect platform is intended for persons over the age of 18.
  2. These Terms and Conditions set out the rules and conditions for the provision of services by GoodConnect via the Platform to Users.
  3. Users may access these Terms and Conditions at any time via a link on the Website's home page, and may download and print them. In order to use the Platform, Users must read the Terms and Conditions before starting to use the Platform and accept them in their entirety. If you do not accept the Terms and Conditions in whole or in part, you may not use the Platform.
2. Definitions

The terms used in this document mean:

PAYMENT AGENT - Stripe Payments Europe, Limited or Stripe Technology Europe, Limited
BILLING CYCLE means a period of 30 days, unless the User has opted for a Subscription Plan with a longer Billing Cycle
ACTIVATION DATE - means the calendar date on which the Subscription begins
EFFECTIVE TERMINATION DATE means the date and time when the Account is deactivated and access to the Services is revoked.
EFFECTIVE CHANGE DATE - means the first day of the first Billing Cycle that begins after the end of the Notice Period
GOODCONNECT -- Good Connect Prosta Spółka Akcyjna entered in the register: District Court for Kraków Śródmieście in Kraków, 11th Commercial Division of the National Court Register, number 0000958726, Tax Identification Number (NIP): 6762613477, Address: ul. Plac Kossaka 3/8, 31-106 Kraków
RESTAURANT CUSTOMER -- a natural person who is provided with free Customer Services
ACCOUNT - a set of data and information maintained for the User by GoodConnect, containing the User's data, including the data provided during Registration and data resulting from their activity on WineConnect
NOTICE PERIOD - means thirty 14 calendar days before the start of the Billing Cycle
SUBSCRIPTION PLAN - plans specifying the scope of Services provided under a given Subscription Plan fee and the Billing Cycle adopted for a given Subscription Plan
MOBILE PAYMENTS - a functionality of the Platform that allows the User to make payments for Services via the Platform under the Subscription Plan, using payment services provided by the Payment Agent
TRIAL PERIOD -- a period of 7 days from the date of Registration, during which the User, after completing the Registration, can familiarize themselves with the functionalities of WineConnect
TERMS AND CONDITIONS -- this document setting out the rules for using WineConnect
REGISTRATION -- the process of registering a User Account via the solutions available on WineConnect
SUBSCRIPTION -- the period of providing Services to the User under the Subscription Plan
AGREEMENT - an agreement concluded by the User in the manner specified in the Terms and Conditions, the subject of which is the provision by GoodConnect of services offered within the Platform, the content of which
SERVICES -- Services provided by GoodConnect to Users or Restaurant Customers
CUSTOMER SERVICES -- Services provided by GoodConnect to Restaurant Customers
USER SERVICES - services provided by GoodConnect to Users using the Platform under the Subscription Plan and during the period of the Agreement between the User and GoodConnect
USER - an entity that completes the Registration process and gains access to the services provided by GoodConnect; a User may only be an entity conducting business activity and, in the case of natural persons, an adult who is not deprived of or restricted in their legal capacity. A User may be an entity
WINECONNECT, PLATFORM - an online platform operated at wineconnect.ai, owned and operated by GoodConnect, providing Services
1. Platform functionality
  1. The Platform is aimed at entities operating catering establishments, in particular restaurants, and its purpose is to provide services aimed at increasing the efficiency of managing these establishments, primarily in the area of wines and beverages, through:
    1. sommelier services,
    2. wine pairing services, i.e., matching appropriate wines to items on the restaurant menu,
    3. support in managing orders and inventory, including placing orders,
    4. providing information about restaurant customers' wine preferences, expectations, opinions, and selected analytical and statistical data.
  2. The scope of services provided is set out in the Subscription Plan.
  3. The platform also provides solutions for restaurant customers through a tool in the form of AI Sommelier, i.e., GoodConnect's proprietary solution that allows restaurant customers to select wine to accompany their meal from the restaurant's wine list, taking into account individual preferences.
  4. The platform is not a tool for promoting the sale or consumption of alcoholic products, but only serves to effectively manage the sale of products offered by catering establishments, which may include wines.
2. USERS
  1. Only entities conducting business activity, i.e., in particular, sole proprietors, civil partnerships of persons conducting business activity, commercial companies, and other legal persons, may be users of WineConnect.
  2. Only entities based in Poland and conducting business activity exclusively on the basis of an entry in the Central Register of Business Activity or in the National Court Register may be users of WineConnect.
  3. Users may be entities operating catering establishments, in particular restaurants.

REGISTRATION
1. Using WineConnect
  1. In order to use WineConnect, the User must register using the form available on WineConnect.
  2. Unregistered persons may not use WineConnect other than as Restaurant Customers.
2. User Registration
  1. Users register using the form available on WineConnect.
  2. All data provided during registration must be true and correspond to the data in the relevant registers.
  3. Any risk associated with providing false or incorrect data shall be borne by the User.
  4. GoodConnect reserves the right to verify the accuracy of the data provided and to request the presentation of relevant documents confirming its accuracy before and after Registration, under pain of refusal of Registration or suspension of the provision of Services.
  5. After Registration, the User will be assigned an individual identifier.
  6. Only a person authorized to act on behalf of the registered entity may register, in particular the entrepreneur himself, a member of a legal entity's governing body, a partner in a partnership, a proxy, or an attorney-in-fact.
  7. A User operating more than one catering establishment shall register each establishment separately.
  8. At the time of Registration, the User is required to present a payment card or other payment instrument supported by the Payment Agent to the Payment Agent and verify it in accordance with the Payment Agent's instructions. No fees are charged at the time of Registration. The User will be charged for the first Billing Cycle after the Trial Period ends on the first day of the Billing Cycle under the selected Subscription Plan.
  9. The User has the option to cancel WineConnect until the end of the Trial Period. In case of cancellation, no fees will be charged. If the User does not cancel during the Trial Period, fees for the first Billing Cycle will be charged and cancellation of WineConnect services will be possible in accordance with the provisions of section 5.3.
3. Login and password
  1. As part of the Registration process, the User assigns an individual login and password in accordance with the requirements set out in the Registration process.
  2. The User is obliged to secure their password and login and not to disclose their login and password to other persons.
  3. The risk of losing the password or login is borne by the User.
  4. In the event of loss of the password or login, the User is obliged to change them using the tools offered by the Platform.
  5. In case of problems with recovering the login or password, the User should contact GoodConnect, which may request additional information or documents to confirm the User's identity.
4. Accuracy of data
  1. During registration and throughout the entire period of using WineConnect, the User is strictly required to provide all data in accordance with the truth.
  2. The User is solely responsible for providing incorrect data, making false statements, or presenting incorrect documents.
  3. In the event of a violation of the above provisions, GoodConnect may suspend the registration process, suspend the User's accounts, or disable the ability to use WineConnect.
5. User obligations
  1. By registering, the User agrees to:
    1. comply with the Terms and Conditions;
    2. enter only data to which they are entitled into the Platform, in a manner that does not infringe the rights of third parties;
    3. posting only true data on the Platform;
    4. keeping User data up to date, including ensuring that menu cards and wine lists (stock levels) are up to date;
    5. not posting data on the Platform referred to in Article 9 of the GDPR, i.e., personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, and genetic data, biometric data enabling the unambiguous identification of a natural person, or data concerning health, sexuality, or sexual orientation (Good Connect never requires such data from Customers for any purpose);
    6. use the Platform only in a manner consistent with its intended purpose, respecting good manners and the principles of social coexistence;
    7. not copying, modifying, distributing, or reproducing all or part of the Platform;
    8. not creating more than one Account for the same Restaurant,
    9. not to share access to the Account with third parties, including keeping the login details confidential,
    10. immediately inform GoodConnect of any unlawful use of the Account by third parties;
    11. not posting any content on the Platform (including information, photos, texts, and other content)
      1. that violates the law, is contrary to good manners or the principles of social coexistence (including pornographic, sexual, or unethical content),
      2. related to drugs, designer drugs, alcohol, or other stimulants, as well as the organization of gambling,
      3. violating the rights of third parties (including personal rights),
      4. violating the provisions of the Terms and Conditions,
      5. or damaging the good name or reputation of GoodConnect and the Platform;
    12. immediately inform GoodConnect if third parties make claims against it in connection with a violation of the law by the Customer in connection with the use of the Platform.
6. Account verification
  1. After the form has been correctly completed, correspondence will be sent to the e-mail address provided by the registrant, together with a summary of the data provided by the registrant and a confirmation link.
  2. The registrant is required to confirm the accuracy of the data provided by using the link sent.
  3. The User's account will be activated after the user uses the link referred to in the above paragraphs, of which the User will be notified by email.
  4. GoodConnect reserves the right to use other mechanisms to confirm the accuracy of the data and confirm the Registration in accordance with the functionality of the Platform.
  5. In a situation where the User's Account or activity within WineConnect requires additional verification, or in the event that GoodConnect has reservations about the security of the Account, it is possible to:
    1. temporarily restrict access to individual services provided within Wine Connect,
    2. make the use of WineConnect conditional upon the User confirming their credibility, including their identity, with appropriate documents,
  6. The measures specified in section 2.6.5 may also be applied if it is discovered that bots or other IT tools are being used in connection with the User Account, which disrupt the functioning of Wine Connect or are used in a manner inconsistent with these Terms and Conditions.
  7. Once the proper use of the User Account has been secured, the restrictions applied may be lifted.
  8. Wine Connect may verify the account throughout the entire period of use of the service, in particular with regard to the User's authorization, its validity, and the correctness of its payment.
  9. The account will be activated after completing the entire registration process, in particular after verification of the correctness of data and documents, including by the Payment Agent. Information regarding the registration process will be provided via email or using messages on WineConnect.
CHOICE OF SUBSCRIPTION PLAN
1. As part of the Registration process, the User is required to select a Subscription Plan.
2. Subscription Plans are described in the Subscription Plans document.
3. For Users who have registered more than one restaurant, fees are charged separately for each restaurant.
PAYMENTS
1. Making payments
  1. Payments for Services under the Subscription Plan are made through the Payment Agent using Mobile Payments.
  2. The Payment Agent's Services and Mobile Payments are independent of GoodConnect and are not part of the Agreement between GoodConnect and the Customer. GoodConnect does not participate in any way in the execution or settlement of Mobile Payments by the Payment Agent.
  3. Mobile Payments for Services are made and settled by the Payment Agent in accordance with the terms and conditions available on the Payment Agent's website. The ordering, authorizing, and execution of Mobile Payments are governed by the Payment Agent's terms and conditions.
  4. The User may make Mobile Payments for Services using a credit or debit card or another payment method made available by the Payment Agent.
  5. Users using Mobile Payments warrant that they are legally authorized to use the payment instruments and accounts they use for Mobile Payments.
  6. The User is responsible for the timely payment for the Services.
  7. The Payment Agent is responsible for the proper execution of Mobile Payments, in accordance with its terms and conditions and the provisions of law.
  8. The User grants GoodConnect the power of attorney to act on behalf of the User to the Payment Agent in order to collect any information about Mobile Payments. GoodConnect will make the information received available to the User on the Platform within the Customer Account.
  9. The User is obliged to use Mobile Payments in accordance with the provisions of law and the Payment Agent's terms and conditions.
2. Fees
  1. The first payment under the selected Subscription Plan is made on the first day after the end of the Trial Period, unless the User has effectively opted out of using WineConnect before the end of the Trial Period.
  2. The Subscription begins upon successful payment. The User pays for the entire Billing Cycle.
  3. Fees for subsequent Billing Cycles will be charged on the first day of each subsequent Billing Cycle.
3. No payment
  1. If it is not possible to collect the subscription fee, GoodConnect may suspend services to the User and terminate the Agreement.
AGREEMENT WITH WINE CONNECT
1. Agreement with GoodConnect
  1. These Terms and Conditions are a standard form contract within the meaning of Article 384 of the Civil Code and set out the terms and conditions of the agreement between the User and GoodConnect.
  2. The Agreement between the User and GoodConnect shall be concluded upon the successful completion of all of the following actions:
    1. completion of Registration,
    2. selection of a Subscription Plan,
    3. successful payment for the Subscription Plan.
  3. The subject of the Agreement is the provision by GoodConnect of services covered by these Terms and Conditions in accordance with the selected and paid Subscription Plan.
  4. The detailed scope of the Services is specified in the Subscription Plans document.
  5. These Services will be provided under the terms and conditions described in these Terms and Conditions, the Subscription Plan, taking into account the Privacy Policy and Cookie Policy.
  6. If these Terms and Conditions are not expressly stated in the Agreement, the provisions of these Terms and Conditions shall be understood implicitly.
2. Commencement of service provision
  1. GoodConnect will commence the provision of services to the User under WinneConnect on the Activation Date, i.e., on the date of effective payment for the first Billing Cycle.
3. Termination of the Agreement
  1. The Agreement concluded between the User and Wine Connect may be terminated by either party upon notice, subject to the Notice Period. The Effective Termination Date shall be the end of the Billing Cycle following the expiry of the Notice Period.
  2. Termination shall be effected by:
    1. sending a notice of termination to the GoodConnect email address or
    2. or by entering the relevant information in the termination form, if available, or other tools designated for this purpose.
  3. The User's account will be deleted within 30 days of the date of termination of the agreement.
  4. Termination of the agreement does not release Users from settling Transactions made before the date of termination.
  5. GoodConnect has the right to terminate the agreement with the User with 14 days' notice if the User has violated the provisions of the Terms and Conditions or has failed to fulfill agreements concluded with other Users, in particular if their Account has been suspended.
  6. In the event of a gross violation of the provisions of these Terms and Conditions, in particular a violation of the obligations under point 2.5, and in the event that the User's actions may expose GoodConnect and other Users to serious damage, GoodConnect shall be entitled to terminate the agreement with immediate effect.
  7. In the cases indicated above in section 5.3.6, the User may not re-register their Account without the prior express consent of Wine Connect.
  8. The User may terminate the Agreement with 14 days' notice if the Platform is unavailable under the paid Subscription Plan for more than 48 hours.
  9. In the event of termination of the Agreement, all records relating to the User will be deleted from wineconnect.ai.
  10. A User who is a consumer may withdraw from the Agreement within 14 days of its conclusion without giving any reason. A model withdrawal form is attached as Appendix 1 to the Terms and Conditions.
  11. Withdrawal and termination must be made in writing and shall be effected by sending a statement (i) by email to the address indicated below or (ii) by post to the mailing address.
4. Change of Subscription Plan
  1. Changes to the Subscription Plan shall be made in accordance with the rules specified for termination of the Agreement, subject to the Notice Period.
  2. The change to the Subscription Plan shall take effect on the Effective Date of Change. GoodConnect may, at the User's request, shorten
INVOICES
1. After the payment has been made correctly, Good Connect will issue an invoice to the User for the amount of the payment made.
2. Such invoice will be sent to the User's email address provided during Registration.
3. The User authorizes GoodConnect to issue invoices without the signature of a person acting on behalf of GoodConnect.
4. Structured invoices (KSeF) will be issued to the details provided in the registration.
AI SOMMELIER
1. AI Sommelier was created with the knowledge and experience of professionals in the fields of enology, wine pairing, and sommelierism.
2. AI Sommelier is a chat tool developed by GoodConnect that allows the User to select wines to accompany the menu offered by the User in their restaurant.
3. With regard to Restaurant Customers, AI Sommelier provides a chat that allows Restaurant Customers to be presented with wine recommendations from the wines available in the restaurant at a given moment, taking into account the Restaurant Customer's preferences, expectations, experiences, and previous conversation history.
4. AI Sommelier is based on artificial intelligence (AI) solutions and appropriately adapted algorithms.
SERVICES FOR USERS
1. WineConnect will provide services available at any given time on WineConnect, including:
  1. presentation of menus and wine lists on WineConnect,
  2. the ability to enter descriptions of dishes and wines, including information about allergens,
  3. selection of wines for the User's menu items using the AI Sommelier tool,
  4. access to the stocks of suppliers who have partnership agreements with GoodConnect,
  5. support for the ordering process by placing orders from WineConnect,
  6. access to an analytical Dashboard presenting data such as:
    1. restaurant customer preferences,
    2. restaurant customer expectations,
    3. trend analyses resulting from restaurant customer interactions with AI Sommelier, etc.
  7. updating wine stock levels.
2. The scope of services provided to Users will be based on the Subscription Plan and the services available at a given time on WineConnect.
FUNCTIONALITIES FOR RESTAURANT CUSTOMERS
1. WineConnect also provides functionalities for Restaurant Customers according to availability at a given time, which includes in particular:
  1. the ability to browse restaurants of Users registered on WineConnect,
  2. access to the menus and wine lists of restaurants of Users registered on WineConnect,
  3. use of the AI Sommelier.
2. Access to the AI Sommelier will be provided by wineconnect.ai and using the QR code and NFC provided by the User.
GOODCONNECT'S RESPONSIBILITY
1. Due to the fact that wine pairing is based on individual tastes, GoodConnect does not take responsibility for the correctness of wine selection for the menu or for the recommendations made by the AI Sommelier to the Restaurant Customer. The platform only provides support in wine pairing processes, but decisions regarding wine selection are made by Users or Restaurant Customers.
2. GoodConnect also accepts no responsibility for:
  1. any allergic reactions, food interactions, negative synergies,
  2. the authenticity, reliability, accuracy, and completeness of data and information posted on the Platform by Users;
  3. damage caused by Users or Restaurant Customers based on recommendations generated on the Platform,
  4. damage caused by Users through the violation of third party rights;
  5. damage caused by the actions of third parties for whom GoodConnect is not responsible;
  6. damages caused in connection with the sale and provision of services by Users to Restaurant Customers using the Platform,
  7. damages caused in connection with the inability of Users to provide the sales or services indicated on the Platform to Restaurant Customers;
  8. damages incurred by Users in connection with the blocking or removal of an Account from the Platform in connection with a violation by Users of the provisions of the Terms and Conditions or generally applicable laws;
  9. disruption of the Platform's functioning or its unavailability.
3. GoodConnect is entitled to partially or completely disable the System in order to repair or upgrade it. In the event of a complete shutdown of the System, if possible, an appropriate announcement will be published on the GoodConnect website.
4. GoodConnect, in accordance with Article 6 of the DSA (Regulation (EU) 2022/2065 of the European Parliament and of the Council of October 19**, 2022**), is not responsible for content stored in the System after it has been entered by a User or Restaurant Customer in a situation where:
  1. it has no actual knowledge of illegal activity or illegal content, and with regard to claims for damages, it is not aware of facts or circumstances that clearly indicate illegal activity or illegal content;
  2. or it takes immediate action to remove or disable access to illegal content when it becomes aware of such knowledge or information.
5. The services provided by GoodConnect use artificial intelligence systems, including generative models and automatic data processing algorithms ("AI"), in particular within the AI Sommelier.
6. The User and Restaurant Customer acknowledge that the results, content, recommendations, analyses, or other information generated by AI ("AI Results") may be: (1) inaccurate, (2) incomplete, (3) outdated, (4) misleading, (4) similar or identical to content generated for other users.
7. AI Results are for informational and auxiliary purposes only and do not constitute, in particular: (2) legal advice, medical advice, including dietary advice, or any other professional opinion.
8. The User and Restaurant Customer are required to independently verify all AI Results before using them for any purpose, in particular in business activities, business, legal, financial, or technical decision-making.
9. The service, including AI-based functionalities, is provided "as is" and "as available," without any express or implied warranties.
10. To the maximum extent permitted by applicable law, the Operator shall not be liable for any damages resulting from the use of AI Results, in particular for: (1) decisions made on the basis of AI Results, (2) the use of AI Results by the User, (3) property damage or non-property damage resulting from reliance on AI Results, (4) infringement of third party rights resulting from the use of AI Results.
11. The User and the Restaurant Customer are solely responsible for the manner in which the AI Results are used and for any consequences resulting from their use.
12. It is prohibited to use the AI-based Service to make decisions in high-risk areas, in particular those relating to: (1) human health and safety , (2) legal decisions, (3) financial decisions of significant importance, (4) security systems or critical infrastructure.
13. By using the Service, the User and Restaurant Customer accept that the AI system is a support tool and does not replace human judgment, control, or decisions.
RESTRICTIONS ON THE USE OF WINECONNECT
1. Except for other cases specified in the Terms and Conditions, it is prohibited for the User to use the Accounts to perform activities that violate the provisions of the Terms and Conditions. In particular, it is unacceptable to:
  1. presenting false information about menu cards and wine cards,
  2. taking actions that violate the law (including the Act of October 26, 1982, on upbringing in sobriety and counteracting alcoholism [i.e., Journal of Laws of 2023, item 2151, as amended]),
  3. providing false information about the products offered.
RATINGS
1. GoodConnect may provide a service for rating Users and the products they offer.
2. In addition, Users and Restaurant Customers may be given the opportunity to submit descriptive ratings of Users or the services and products they offer. If such a Service is made available, Users and Restaurant Customers are required to post comments relating only to the User or the product offered. Comments that are vulgar, derogatory, obscene, racist, or otherwise violate the rules of social coexistence or good manners are not allowed. It is also not allowed to post contact details, logins, addresses, including e-mail addresses, and they cannot constitute advertising.
3. GoodConnect reserves the right to remove comments that violate the rules set out in section 12.1.2 and otherwise violate the provisions of these Terms and Conditions. Removal may take place on GoodConnect's own initiative or at the justified request of the User or Restaurant Customer.
VIOLATION OF THE TERMS AND CONDITIONS
1. In addition to other cases expressly specified in these Terms and Conditions, all actions taken by the User within Wine Connect should comply with the Terms and Conditions, good manners, and the law. Actions that may adversely affect the security of Wine Connect or harm Users are also prohibited.
2. The User bears full responsibility for their actions and omissions related to the use of WineConnect and, in particular, may be liable for damages to GoodConnect.
ACCOUNT SUSPENSION
1. If GoodConnect finds a violation of the provisions of this agreement/Terms and Conditions, GoodConnect may suspend the User's Account for a specified or indefinite period of time, i.e., in particular, suspend the provision of Services to the User. In addition, GoodConnect may restrict the User's ability to use selected services offered by GoodConnect.
2. The User Account may also be suspended in the event of non-payment for the Subscription.
3. In the cases indicated above, GoodConnect may
  1. temporarily restrict the User's access to all or individual services provided within Wine Connect, in particular, restrict the functionality of the User Account for a definite or indefinite period of time,
  2. suspend one, several, or all of that User's Accounts for a definite or indefinite period of time.
4. In the event of Account suspension, the User shall only have access to the Account and to the instruments enabling payment.
5. Immediately after suspending the Account or restricting the use of selected Wine Connect services, GoodConnect shall notify the User by e-mail, requesting an explanation of the reasons for the suspension and setting a deadline for a response.
6. If the User fails to respond, provides an insufficient response, or fails to remedy the violations, GoodConnect may maintain the suspension of the Account or terminate the agreement with the User.
DATA, INTELLECTUAL PROPERTY
1. Access to data
  1. GoodConnect has access to the User's data provided at the time of Registration and subsequently updated, as well as to payment-related data.
  2. GoodConnect also has access to other data entered on WineConnect, such as:
    1. information entered in the menu,
    2. information entered in wine cards and inventory records,
    3. orders the content of correspondence between the Buyer and the Seller, including in particular complaints, discussions, and disputes.
  3. The User has access to data concerning their activities on Wine Connect, including transaction history.
2. Intellectual property
  1. All materials, including graphics, their layout and composition, trademarks, all texts and other information, photos, databases, available on the WineConnect websites are subject to GoodConnect's rights in accordance with the provisions of copyright law, industrial property law, and database rights.
  2. It is not permitted to download or use any materials available on WineConnect without the prior express consent of GoodConnect.
  3. It is prohibited to use IT tools such as bots that may disrupt the functioning of Wine Connect, be used to download data, infect content, constitute a means of cyber attack, etc.
3. Personal data
  1. Personal data provided by Users is processed in accordance with applicable law and in accordance with the privacy policy contained in the Privacy Policy.
  2. Users' personal data is shared with other entities such as:
    1. suppliers,
    2. Payment Agent,
    3. entities processing invoices issued by GoodConnect on behalf of Users.
TECHNICAL BREAKS, ERRORS, AND FAILURES
1. Technical interruptions
  1. GoodConnect reserves the right to introduce periodic technical interruptions, in particular for the purpose of introducing changes or improvements to WineConnect.
  2. Users will be informed of such interruptions in advance.
  3. If an interruption occurs during a Transaction, the deadlines for its completion will be extended by the duration of the interruption, which shall not be less than 24 hours.
2. Malfunctions and errors
  1. In the event of a technical error related to the malfunctioning of the platform, Wine Connect will take steps to remedy it immediately.
3. Information
  1. Information about technical interruptions, errors, or failures will be available at wineconnect.ai or will be communicated via email or other information channels available at wineconect.ai.
LIMITATION OF GOODCONNECT'S LIABILITY
1. GoodConnect shall not be liable for any damage suffered by Users in connection with technical interruptions, failures, and errors of WineConnect.
2. In the event that the User suffers damage related to the malfunction of Wine Connect, it is limited to actual damage - damnum emergens and may not exceed the value of the subscription fee for one Billing Cycle.
3. Under no circumstances shall Wine Connect be liable for any lost profits of the User - lucrum cessans.
FINAL PROVISIONS
1. Language version
  1. If Wine Connect is available in languages other than Polish, the Polish version remains binding.
  2. In the event of discrepancies, translation errors, or inaccuracies, the Polish version shall prevail. This does not apply to content provided by Users, where the language version used by the User shall prevail.
  3. The rule indicated in paragraph 1 also applies to these Terms and Conditions and other documents related to the use of Wine Connect if they are translated into other languages.
  4. All correspondence between Wine Connect and Users and between Users should be in Polish, unless the parties to the correspondence agree on another language.
2. Amendment of the Terms and Conditions
  1. GoodConnect may amend these Terms and Conditions at any time by notifying the User at the email address provided during Registration and by publishing the amendment on the Wine Connect website.
  2. The change will take effect on the date specified by GoodConnect, no sooner than 14 days from the date of notification.
  3. Amendments to the Terms and Conditions may be dictated in particular by: changes in the law, the introduction of additional functionalities, improvements to WineConnect, changes in commission rates, or changes in published content.
  4. A User who does not agree to the planned changes is obliged to notify GoodConnect by sending a message to this effect to the email address provided by GoodConnect within 14 days of notification of the change to the Terms and Conditions. In such a case, the agreement between the User and GoodConnect shall be terminated on the date of entry into force of the amendments to the Terms and Conditions.
  5. Any amendment to the Terms and Conditions constitutes an amendment to the agreement between the User and GoodConnect in accordance with the content of the amendments to the Terms and Conditions.
  6. If any provision of the Terms and Conditions is found to be invalid by a court of law, the remaining provisions shall remain in force, unless the law provides otherwise. The provisions of these Terms and Conditions shall be interpreted in such a way as to preserve the validity and effectiveness of the Terms and Conditions and their enforceability.
3. Correspondence between the parties

Correspondence will be sent to the User at the address provided during Registration.

Correspondence will be sent to GoodConnect at the address provided in section 1.2 or the contact details in the Contact tab on the wineconnect.ai website.

Dispute resolution
1. The law applicable to the resolution of disputes arising from the agreement concluded between the User and GoodConnect and between GoodConnect and the Restaurant Customer is Polish law.
2. Any disputes between GoodConnect and the User or Restaurant Customer shall be settled by Polish common courts competent for the seat of GoodConnect.
